What are the steps to set up a business in the UAE?
Setting up a business involves: 1) Determine your business activity to ensure compliance. 2) Choose a legal structure (sole proprietorship, LLC, or branch). 3) Select jurisdiction (Mainland, Free Zone, or Offshore). 4) Register and reserve a unique trade name. 5) Apply for initial approval certificate. 6) Draft legal documents (MOA, lease agreements). 7) Submit all documents to DET or Free Zone authority to receive your license.
What is a Mainland entity?
A Mainland entity is registered with the Department of Economy and Tourism (DET) in any of the seven Emirates. It allows you to trade freely anywhere within the UAE and internationally without restrictions. Foreign investors can now enjoy 100% ownership for most activities. Ideal for government contracts or physical retail outlets across the country.
What is a Free Zone?
A Free Zone is a designated area where businesses operate under unique customs, tax, and import regimes. Benefits include 100% foreign ownership, 100% repatriation of capital and profits, and exemption from import/export duties. Free Zone companies are generally restricted from trading directly with UAE mainland without a local distributor. Each Free Zone caters to specific industries.
Can Offshore entities be set-up in the UAE?
Yes. Offshore entities (International Business Companies) can be set up in jurisdictions like Jebel Ali (JAFZA) or Ras Al Khaimah (RAKEZ). They are primarily used for asset protection, tax planning, or as holding companies. Offshore companies cannot conduct business within UAE mainland and do not provide residency visas, but offer high confidentiality regarding ownership.
Does the founder need to be physically present in the UAE to start a business?
Not always. Many Free Zone jurisdictions allow for remote company incorporation without the need for your physical presence. However, for Mainland companies or to complete the medical test and biometrics for your Emirates ID and residency visa, you will eventually need to visit.
